Terms of Service
These terms govern access to the POTOK platform and related services of Osnovatel LLC. By using the platform a business accepts them. Where a signed contract differs from these terms, the contract prevails.
1. What we provide
- Access to POTOK: incoming enquiries from connected messaging channels, deal management, the AI agent in conversations, and reporting on the team's work.
- Channel onboarding and configuration for the client's business.
- Support during working hours: Mon–Fri, 09:00–18:00 (UTC+6).
2. Account
- The client is responsible for keeping passwords safe and for what its staff do in the platform.
- One account belongs to one business. Access may not be passed to third parties.
- Suspected credential leaks must be reported to us immediately.
3. Subscription and payment
- The platform is sold by subscription. Current prices are set out in the contract and in the client's account.
- Payment is made in advance. Non-payment after the period ends suspends access; data is retained for 30 days.
- Messaging fees are charged directly by the channel provider (for example Meta) at its own rates and are not included in our fees.
- A paid period already used is not refundable. An unused remainder is refunded on written request.
4. Rules for messaging
This is the core of these terms. A breach is grounds for immediate suspension.
- The client messages only people who contacted the business themselves or gave explicit consent.
- The client complies with the rules of the channels in use, including the WhatsApp Business Messaging Policy, the Meta Platform Terms and the WhatsApp Business Solution Terms.
- Bulk messaging without consent, deception, sale of goods and services prohibited by law, and collecting other people's personal data without a legal basis are forbidden.
- The client is responsible for the accuracy of what it loads into the platform: prices, terms and promises made to customers.
- The client confirms that it is entitled to pass its customers' data to us for processing.
5. The AI agent
- Replies are generated automatically from information the client itself supplied.
- An automated reply may be inaccurate. The client must review its scenarios and monitor conversations; a member of staff can step into any conversation at any time.
- Legally significant acts — contracts, invoices, confirmation of payments — are performed by a human on the client's side, not by the agent.
- We are not liable for commercial decisions taken on the basis of an agent's reply.
6. Availability
- We aim for uninterrupted operation but do not guarantee it: the platform depends on messaging and infrastructure providers.
- We give at least 24 hours' notice of planned maintenance.
- An outage caused by a channel provider is not a breach of our obligations.
7. Data and confidentiality
- The client's data and its customers' data belong to the client. We process them on its instruction — see the Privacy Policy.
- On request we export the client's data in a machine-readable format.
- Deletion follows the procedure on the Data deletion page.
8. Intellectual property
All rights to POTOK, its code, interface and materials belong to Osnovatel LLC. The client receives the right to use the platform for the subscription term. Copying, decompiling and reselling the platform are not permitted.
9. Liability
- Our aggregate liability is limited to the amount the client paid for the last three months of subscription.
- We do not compensate lost profit or indirect damages.
- These limits do not apply to wilful misconduct or gross negligence.
10. Suspension and termination
- The client may cancel at any time with written notice; access remains until the end of the paid period.
- We may suspend access for a breach of section 4, for non-payment, or at the demand of a channel provider.
- After termination, data is retained for 30 days and then deleted.
11. Changes
We publish a new version on this page and notify clients by email at least 14 days in advance. Continued use means acceptance of the new version.
12. Governing law
The law of the Kyrgyz Republic applies. Disputes are settled by negotiation and, failing that, by the court at the Company's location in Bishkek.
